Terms of Service

For the purposes of these Terms of Service, the following definitions apply:

• -Stakao: The software platform accessible at stakao.com, providing automated staking tools for the Bittensor network.
• -Altion Labs: The publisher and operator of Stakao, a micro-enterprise registered in France under SIREN 101 075 380.
• -User: Any natural or legal person who accesses or uses the Stakao platform.
• -Service: All features, tools, and functionalities provided by the Stakao platform.
• -Strategy: A user-configured set of rules that automates staking allocation across Bittensor validators and subnets.
• -Proxy Delegation: A limited, on-chain authorization granted by the User to Stakao's delegate address, permitting staking operations only. No transfer authority is granted.
• -Bittensor: A decentralized, open-source machine intelligence network operating via the Substrate blockchain framework.
• -TAO: The native cryptocurrency of the Bittensor network.
• -Validator: A node on the Bittensor network that validates subnet computations and to which Users may delegate stake.
• -Subnet: A sub-network within Bittensor dedicated to a specific AI task, each with its own validator set and emission schedule.
• -Staking Rewards: TAO emissions distributed to delegators as compensation for staking, subject to network conditions and validator performance.

By creating an account, connecting a wallet, or otherwise accessing or using the Stakao platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety, as well as our Privacy Policy and Disclaimer.

If you do not agree to these Terms, you must immediately cease using the Service and, if applicable, revoke any proxy delegation previously granted to Stakao.

Stakao is a non-custodial software platform that automates staking operations on the Bittensor blockchain network. The Service provides tools to configure, manage, and execute staking strategies through a blockchain proxy mechanism. Key characteristics include:

• -Non-Custodial Architecture: Stakao never takes custody of your TAO or any other assets. Your private keys and seed phrases remain exclusively under your control at all times.
• -Proxy Delegation (Staking Only): You may grant Stakao a limited staking proxy on the Bittensor blockchain. This proxy authorizes staking and unstaking operations only — it cannot transfer, withdraw, or move your funds to any third party.
• -Zero Commission on Rewards: Stakao charges 0% commission on your staking rewards. You receive 100% of the rewards generated by your delegated stake.
• -Revocable at Any Time: You can revoke the proxy delegation at any time by submitting an on-chain transaction directly from your wallet, completely independently of Stakao.

Stakao is a software tool, not a financial service provider. It does not manage funds, provide investment advice, or guarantee any financial outcome.

The Service relies on the following third-party providers to operate. By using Stakao, you acknowledge that your use is also subject to their respective terms of service and policies:

• -Bittensor Network: A decentralized blockchain network. Altion Labs has no control over its operations, availability, or protocol changes.
• -TaoStats (taostats.io): Bittensor network data API providing subnet metrics, validator rankings, emissions data, and TAO price feeds used to inform strategy execution.
• -Stripe: Payment processing for paid subscriptions. Stripe stores and processes payment card data on our behalf.
• -Supabase: Database and authentication infrastructure, hosted within the European Union.
• -Cloudflare / Railway: Content delivery, frontend hosting, and backend infrastructure providers.
• -Chutes.ai: AI language model provider. Portfolio and market data is processed via the Chutes.ai API to power autonomous staking agents.

Altion Labs is not responsible for the availability, accuracy, or conduct of any third-party provider.

Stakao does not provide financial, investment, legal, or tax advice. The Service is provided for informational and operational purposes only. You acknowledge and accept the following material risks:

• -Price Volatility: The value of TAO and other digital assets can fluctuate dramatically. You may lose all or part of your staked assets.
• -No Guaranteed Returns: Staking rewards depend on network emissions, validator performance, and subnet conditions. Past performance does not guarantee future results.
• -Validator Performance: Validators may underperform or go offline, which can reduce or stop staking emissions for delegators during that period.
• -Protocol Changes and Forks: The Bittensor protocol may be updated, forked, or discontinued, potentially affecting the value and availability of your assets.
• -Regulatory Risk: The regulatory status of cryptocurrencies and blockchain services varies by jurisdiction and may change. It is your responsibility to ensure compliance with applicable laws.
• -Smart Contract and Network Risk: Bugs, exploits, or network outages on the Bittensor blockchain may result in unexpected outcomes.

Only stake assets you can afford to lose. Stakao is not liable for any financial losses arising from staking activities.

To use the Service, you must:

• -Be at least 18 years of age or the legal age of majority in your jurisdiction.
• -Have full legal capacity to enter into binding contracts.
• -Not be a resident of or located in a jurisdiction where accessing or using cryptocurrency services is prohibited by applicable law.
• -Not be subject to sanctions, embargoes, or other legal restrictions that would prevent you from using the Service.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements.

You agree to use the Service in good faith and in accordance with applicable laws. The following uses are strictly prohibited:

• -Using wallets or assets that are stolen, compromised, or obtained through illegal means.
• -Attempting to exploit, manipulate, or abuse the proxy delegation mechanism beyond its intended staking purpose.
• -Using the Service in connection with money laundering, terrorist financing, or any other financial crime.
• -Scraping, reverse-engineering, or attempting to extract data or code from the platform without authorization.
• -Attempting to circumvent subscription limits, access controls, or any other technical restriction of the platform.
• -Sharing, selling, or transferring your account access to any third party.

You are solely responsible for maintaining the security of your wallet credentials, private keys, and seed phrases. Altion Labs cannot recover lost wallet access or reverse on-chain transactions.

Stakao operates on a freemium model. Access to the platform is available at no cost under the Free tier, with optional paid subscriptions for advanced features.

• -Free Tier: Standard staking strategies are free and unlimited. No commission is taken on rewards.
• -Paid Plans (Pro): Advanced autonomous portfolio management features available via monthly or annual subscription, billed in USD.
• -Payment Processing: All payments are processed securely by Stripe. Altion Labs does not store payment card data.
• -Zero Commission on Rewards: Regardless of subscription tier, Stakao charges 0% commission on your staking rewards. 100% of rewards go to you.
• -Automatic Renewal: Paid subscriptions renew automatically at the end of each billing period. You may cancel at any time to prevent renewal.

Altion Labs may offer a free trial period for paid subscription plans at its discretion. Unless otherwise specified:

• -Free trials last 7 days and provide full access to Pro features.
• -Only one free trial is available per user account. Creating multiple accounts to obtain additional trials is prohibited.
• -At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled before the trial ends.
• -A valid payment method must be provided to activate a free trial.

The Service is provided on a best-effort basis. Altion Labs commits to a reasonable level of care in operating and maintaining the platform but does not provide any Service Level Agreement (SLA) or uptime guarantee.

• -Altion Labs makes no guarantee of any particular staking yield, APY, or financial return.
• -Strategy execution depends on the availability of the Bittensor network and third-party data providers, which are outside our control.
• -We reserve the right to perform maintenance, apply updates, or temporarily suspend the Service with reasonable notice where possible.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.

• -No Partial Refunds: Subscription fees are non-refundable for partial billing periods, except as described below.
• -Exceptions: A refund may be issued at Altion Labs' discretion in cases of total platform unavailability exceeding 72 consecutive hours, or in the event of a demonstrable billing error.
• -EU Right of Withdrawal: If you are a consumer located in the European Union, you have a statutory right of withdrawal of 14 days from the date of subscription. However, if you begin using the Service immediately upon subscription, you expressly waive this right pursuant to Article L221-28 of the French Consumer Code.

Altion Labs undertakes to make reasonable commercial efforts to ensure the Service is accessible and functional. This constitutes an obligation of means, not of result. We are not liable for interruptions caused by events outside our reasonable control, including network failures, third-party provider outages, or Bittensor protocol changes.

All intellectual property rights in the Stakao platform — including but not limited to its source code, design, algorithms, trademarks, logos, and content — are the exclusive property of Altion Labs and are protected under applicable French and international law.

No license is granted to you except the limited right to use the Service in accordance with these Terms. Reproduction, modification, distribution, or exploitation of any part of the Service without prior written consent from Altion Labs is strictly prohibited.

To the fullest extent permitted by applicable law, Altion Labs expressly excludes liability for:

• -Any loss of staking funds, TAO, or other digital assets arising from use of the Service.
• -Reduced or lost emissions caused by validator underperformance or network conditions.
• -Fluctuations in the price of TAO or any other digital asset.
• -Network outages, gas fee failures, or transaction reversals on the Bittensor network.
• -Protocol upgrades, hard forks, or discontinuation of the Bittensor network.
• -Loss arising from unauthorized access to your wallet due to compromise of your credentials.
• -Any indirect, incidental, consequential, or punitive damages.

In any event, Altion Labs' total aggregate liability to you shall not exceed the total subscription fees paid by you to Altion Labs during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Altion Labs, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party rights.

Altion Labs shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: acts of God, war, natural disasters, governmental actions, general internet failures, blockchain network outages, Bittensor protocol upgrades or halts, or failures of third-party infrastructure providers.

Altion Labs reserves the right to suspend or terminate your access to the Service at any time, with or without notice, in cases of material breach of these Terms, suspected fraudulent activity, or violation of applicable law.

Important: Termination of your Stakao account does not automatically revoke your proxy delegation on the Bittensor blockchain. Any proxy delegation you have granted will remain active on-chain until you explicitly revoke it via an on-chain transaction. Altion Labs will cease executing strategies upon account termination but is not responsible for any on-chain state that persists.

The Service may contain links to third-party websites or resources. These links are provided for convenience only. Altion Labs does not endorse and is not responsible for the content, accuracy, or practices of any third-party sites. Accessing such links is at your own risk.

Altion Labs reserves the right to update or modify these Terms at any time. Where changes are material, we will provide at least 15 days' prior notice via email to your registered address or via a prominent notice on the platform. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of France. Any dispute arising from or relating to these Terms or the Service shall first be submitted to an amicable resolution process. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of France.

If you are a consumer located in the European Union, you also have the right to use an approved consumer mediation service. Information on approved mediators will be provided upon request to [email protected].

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall continue in full force and effect.
